Terms of Service

Effective August 3, 2026

These Terms of Service (“Terms”) are a binding agreement between you and SongHub LLC (“SongHub”, “we”, “us”) governing your access to and use of the SongHub platform, including songwriter collaboration, song registration preparation, community, messaging, playlist, AI assistant and blockchain anchoring features (collectively, the “Service”). By creating an account or using the Service you accept these Terms and our Privacy Policy.

1. Eligibility and accounts

You must be at least 16 years old (or 13 with verifiable parental consent where permitted) and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us at support@songhub.co of any unauthorized use.

2. Your content

“Your Content” means any recording, stem, composition, lyric, artwork, photo, video, text, metadata, split information, identifier (IPI, ISWC, ISRC), or other material you upload, submit, or transmit through the Service. You retain all ownership rights in Your Content. We claim no ownership of your songs, masters, compositions, or publishing interests.

You grant SongHub a limited, worldwide, royalty-free, non-exclusive license to host, store, reproduce, transcode, transmit, and display Your Content solely to operate, secure, and provide the Service to you and to the collaborators, community members, or recipients you designate, and to prepare registration files and blockchain anchor records at your direction. This license ends when you delete Your Content or close your account, except for copies retained in backups for a limited period and for immutable blockchain records already published (see Section 6).

3. Ownership warranty, representations, and indemnity

You warrant and represent that you own 100% of the rights in everything you upload. Specifically, for all of Your Content you represent and warrant that: (a) you are the sole and exclusive owner of, or have secured all necessary rights, licenses, consents, clearances, and permissions in and to, 100% of the copyrights, master rights, publishing rights, performance rights, name and likeness rights, and any other rights in Your Content; (b) Your Content contains no uncleared samples, interpolations, loops, third-party recordings, AI-generated material trained or derived in violation of any third-party right, or other material that infringes or misappropriates the intellectual property, privacy, publicity, moral, or contractual rights of any person; (c) the split, ownership, and identifier information you enter is true, accurate, and authorized by every rights holder involved; and (d) Your Content and your use of the Service comply with all applicable laws and with any agreement you have with a co-writer, publisher, label, performing rights organization, or other third party.

Indemnity. You agree to defend, indemnify, and hold harmless SongHub LLC and its members, officers, directors, employees, contractors, agents, licensors, service providers, and successors (the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys’ fees and expert costs) arising out of or related to: (i) Your Content, including any claim that it infringes or misappropriates any copyright, trademark, right of publicity, moral right, or other right; (ii) any breach or alleged breach of your warranties or representations in these Terms; (iii) any dispute between you and a collaborator, co-writer, publisher, PRO, or other third party regarding ownership, splits, credits, or royalties; (iv) any registration, filing, or blockchain anchor made using information you supplied; and (v) your use or misuse of the Service. We may assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense. This obligation survives termination of your account.

4. Non-destructive handling of your files

SongHub is designed to be non-destructive. We do not overwrite, alter, remix, or permanently modify your original uploaded files. Uploaded masters and stems are preserved as submitted; waveforms, previews, and streaming renditions are generated as separate derivative copies used only for playback inside the Service. Collaborator stem uploads are stored as additive, individually time- and date-stamped versions rather than replacements, so prior versions and the contribution history remain intact and visible to authorized collaborators.

Deletions you initiate are honored, but note that (a) a deletion may not be recoverable, (b) copies may persist in encrypted backups for a limited retention window, and (c) blockchain anchor records cannot be deleted or edited once published. You are responsible for maintaining your own independent master archive of Your Content; SongHub is not a backup or archival service.

5. Intellectual property protection

Confidentiality of unreleased work. Songs, stems, and community posts you mark private are treated as confidential. We restrict access to the collaborators and members you authorize, apply access controls and row-level security to stored data, serve audio through expiring signed links, and do not sell, license, publish, or use Your Content to train third-party or public generative AI models. We do not distribute or exploit your songs commercially.

Administrator control. Only the song administrator (the original creator) may edit core song information, splits, artwork, and visibility. Collaborators may contribute stems and files, which remain attributed to them.

Timestamping and anchoring. Blockchain anchoring writes a hash and a limited human-readable snapshot (such as song title, SongHub Work ID, and ownership names and percentages) to the Polygon network to create a tamper-evident timestamp. Anchoring is evidentiary support only. It is not a copyright registration, does not create or transfer any right, and does not substitute for registration with the U.S. Copyright Office, a PRO, The MLC, or SoundExchange. Because the blockchain is public and permanent, do not anchor information you want kept secret.

SongHub IP. The Service, including its software, design, trademarks, and Work ID system, is owned by SongHub LLC and licensed to you for use as provided in these Terms. You may not copy, reverse engineer, scrape, or create derivative works of the Service.

Copyright complaints (DMCA). Send notices of claimed infringement to support@songhub.co with the information required by 17 U.S.C. § 512(c)(3). We may remove or disable access to allegedly infringing material and terminate repeat infringers.

6. Registration and rights administration disclaimer

SongHub prepares and organizes registration data and export files (including CWR-style CSV and split sheets) for your submission to AllTrack, ASCAP, BMI, SESAC, SoundExchange, The MLC, the U.S. Copyright Office, and other organizations. We are not your publisher, administrator, PRO, attorney, or agent. Final filings, accuracy, deadlines, and fees remain your responsibility, and we do not guarantee acceptance by any organization or collection of any royalty.

7. Acceptable use

Do not upload unlawful, infringing, harassing, hateful, deceptive, or malicious material; impersonate others; misstate splits or ownership; harvest other users’ data; interfere with the Service’s security or performance; or use the Service to distribute spam or malware. We may suspend or terminate accounts that violate these Terms.

8. AI assistant

The AI assistant provides general information about music rights and workflow. It is not legal, financial, or tax advice, may be inaccurate, and should not be relied upon without verification by a qualified professional.

9. Disclaimers and limitation of liability

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. To the maximum extent permitted by law, the Indemnified Parties will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost royalties, or loss of data. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months preceding the claim or USD $100. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms or where required by law. Sections 2, 3, 4, 5, 9, and 11 survive termination.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except where your local consumer law provides otherwise. The parties will first attempt to resolve any dispute informally by contacting support@songhub.co. Any unresolved dispute will be brought exclusively in the state or federal courts located in Delaware, and each party consents to that jurisdiction. You and SongHub each waive any right to a jury trial and to participate in a class action, to the extent permitted by law.

12. Changes and contact

We may update these Terms; material changes will be posted here with a new effective date and, where required, notified to you. Continued use after changes take effect constitutes acceptance. Questions: support@songhub.co.
